Terms of Service

These terms govern your use of Direct REI ("the platform"), operated by Direct REI ("we," "us," or "our"). By creating an account or using the platform, you agree to these terms.

1. The Service

Direct REI is a multi-channel outreach platform for real estate professionals. The platform helps you research prospects, organize a CRM, and execute outreach across channels such as email, SMS, voice, and direct mail, with the help of automation and generative content tools.

2. Accounts

  • You must be at least 18 years old to create an account or use the platform. By creating an account, you confirm that you meet this age requirement and have the legal capacity to enter into a binding agreement under the laws of your jurisdiction.
  • You are responsible for keeping your account credentials secure.
  • You are responsible for all activity under your account, including activity by anyone you invite to access the account.
  • One person or entity per account. Do not share account access except via the platform's built-in team invite feature.

3. Acceptable Use

You agree to use the platform lawfully and responsibly. Among other obligations, you must:

  • Comply with all applicable laws and regulations covering outreach to consumers and businesses in every jurisdiction where you operate or send to, including but not limited to the CAN-SPAM Act, the Telephone Consumer Protection Act (TCPA), state-level call/SMS rules, and applicable privacy frameworks such as GDPR or CCPA.
  • Only contact people you have a legitimate reason to reach and, where required by law, only contact those who have given the appropriate prior express consent (especially for SMS and voice).
  • Include accurate sender identification and a working opt-out mechanism in every outbound channel where one is required.
  • Honor opt-out and unsubscribe requests promptly across all channels and synchronize them across your contact lists.
  • Not use the platform to send spam, phishing, malware, deceptive content, threats, harassment, hate speech, or any illegal content.
  • Not use the platform to communicate with anyone listed on a Do-Not-Call registry where doing so would violate law.
  • Not use the platform for any illegal or fraudulent purpose.
  • Not attempt to circumvent plan limits, security measures, rate limits, or authentication controls.
  • Not resell, sublicense, white-label, or otherwise provide the platform as a service to third parties.
  • Not scrape, reverse-engineer, or attempt to extract source code from the platform.

We may suspend or terminate accounts that violate these rules without prior notice.

4. Your Data

  • You own your data — contact lists, message content, sequences, templates, and conversation history.
  • You grant us a limited license to process your data solely to operate the platform on your behalf (executing outreach actions you initiate, generating content you request, storing records, and providing analytics).
  • We do not sell your data or use it for advertising.

5. Connected Accounts and Numbers

  • To send on your behalf, you may connect external accounts (such as email accounts or phone numbers). You are responsible for complying with the terms of service of each connected provider.
  • We encrypt connection credentials at rest using industry-standard encryption. No security control is perfect; we recommend using application-specific credentials where supported.
  • The platform performs outreach actions only as directed by your campaigns, sequences, or manual actions. We do not initiate communications from your connected accounts for any other purpose.

6. Automated and AI-Generated Content

  • The platform uses automation and generative AI to help draft outreach content, suggest replies, and execute scheduled sends.
  • Generated content is provided as-is. You are responsible for reviewing and approving outreach content before it is sent, except where you have explicitly enabled fully-automated delivery.
  • Automated replies to inbound messages may be sent without manual review after a delay. You can disable automated replies or flag contacts for manual handling at any time.
  • We do not guarantee the accuracy, appropriateness, deliverability, or effectiveness of generated content.
  • You are solely responsible for all messages sent from your account, whether human-authored, automated, or AI-generated.

7. Billing and Payments

  • Paid plans are billed monthly or annually through a third-party payment processor. Prices are listed on our pricing page.
  • Subscriptions renew automatically. You can cancel at any time through the billing portal; access continues until the end of the current billing period.
  • Prepaid credits and credit packs are non-refundable and may have expiration dates as stated at the point of purchase.
  • Per-piece costs for outbound communications (such as SMS, postcards, or other paid actions) are deducted from your plan allotment or prepaid credit balance as they are used.
  • We reserve the right to change pricing with reasonable notice. Price changes do not affect the current billing period.

8. Service Availability

We aim to keep the platform available but do not guarantee uninterrupted service. We may perform maintenance, experience outages, modify features, or change underlying service providers at any time. We are not liable for any losses caused by downtime, throughput limits, deliverability, or service changes.

9. Limitation of Liability

To the maximum extent permitted by law:

  • The platform is provided "as is" without warranties of any kind, express or implied.
  • We are not liable for indirect, incidental, consequential, or punitive damages, including lost revenue, lost deals, or reputational harm.
  • Our total liability for any claim is limited to the amount you paid us in the 12 months preceding the claim.
  • We are not responsible for the deliverability of your outreach, the accuracy of generated content, the legality of your campaigns under the laws applicable to you, or the responses of your recipients.

10. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, fines, or expenses (including reasonable attorneys' fees) arising from your use of the platform, your outreach content, your contact lists, or your violation of these terms or applicable law.

11. Termination

  • You may close your account at any time by contacting us.
  • We may suspend or terminate your account for violations of these terms, non-payment, prolonged inactivity, or at our discretion with reasonable notice.
  • Upon termination, your data will be deleted within 30 days, except as required by law or as described in our Privacy Policy.

12. Changes to These Terms

We may update these terms from time to time. We will notify you of material changes by posting the updated terms on this page and updating the "Last updated" date. Continued use of the platform after changes constitutes acceptance of the revised terms.

13. Governing Law

These terms are governed by the laws of the United States and the state in which Direct REI is established. Any disputes will be resolved in the courts of that jurisdiction.
